Real estate investments become particularly complex when a developer desires to market a real estate opportunity to the investment community. Aside from real estate and development issues, developers must comply with state and federal securities laws. When marketing to a small group of private investors, rather than using a prospectus, securities laws permit a private placement memorandum that outlines the real estate project, the business terms of the investment, the nature of the investment risk, and the rights and responsibilities of each investor. Our Real Estate Syndication team works diligently with members of our firm’s Securities team on behalf of both developers and investors to prepare and analyze private placement memorandums and similar investment documents.
