Andrew Frost is an attorney in the Business Practice Group in the Milwaukee Office. Andrew primarily focuses his practice on employee benefits, executive compensation and mergers and acquisitions.
As a member of the firm’s Compensation and Benefits/ERISA Section, Andrew advises on health and welfare, corporate pension, 401(k), profit sharing, executive compensation, nonqualified deferred compensation, employee stock ownership plans, cafeteria plans and flexible benefit programs. He works with publicly-traded and private for-profit businesses, tax-exempt entities, and religiously-affiliated institutions. Andrew places a particular focus on executive compensation arrangements, including compliance with tax laws such as Internal Revenue Code Sections 409A and 280G.
Andrew is also a member of the firm’s Mergers and Acquisitions Section. He has experience representing buyers, sellers and investors in transactions of various sizes (e.g., $50,000 to $70,000,000) and complexities. His experience includes transactions involving private equity, strategic purchasers and sellers and management buy-outs in a wide variety of transaction structures, including purchases and sales of stock, purchases and sales of assets, and transactions related to the transition of ownership to employee stock ownership plans.
Andrew also has extensive prior experience in both traditional labor law and employment law, which provides his clients a distinct advantage in mergers and acquisitions negotiations, due diligence review and post-closing operations.
Andrew is a member of the State Bars of Wisconsin and Illinois, as well as the Milwaukee Bar Association.
