Nathan Fronk focuses his practice on transactional matters, with particular emphasis in representing businesses and financial institutions in evaluating, negotiating, structuring and documenting secured and unsecured commercial lending transactions, asset-based financings, construction financing, loan workouts, and restructuring. He also represents government entities, non-profit and for-profit corporations in taxable and tax-exempt bond issuances to finance and refinance schools, hospitals, manufacturing facilities, senior living and affordable housing.
Nathan recognizes that each client is different and adds value by developing a deep understanding of his clients’ businesses and their goals and by helping them determine how best to accomplish them. He has experience in numerous business and real estate matters, including:
- formation, financing, and expansion of a business through acquisition, merger or sale, recapitalizations, reorganizations and compliance planning;
- serving as outside general counsel and a trusted advisor for many of his clients by helping them with general corporate and contract matters, including, corporate governance, terms and conditions of sale, manufacturing and supply agreements, non-competition and confidentiality agreements, and shareholder agreements;
- the purchase, sale and leasing of commercial real estate; and
- environmental compliance and enforcement issues under state and federal environmental laws, including strategies to reduce environmental risk associated with real estate and corporate transactions, coordination of environmental due diligence and compliance information, planning and evaluation of Phase I and Phase II site investigations, development of environmentally sensitive and contaminated properties, and the proper treatment, storage, and transportation of hazardous materials and wastes.
Nathan helps clients navigate through various obstacles that present themselves in complex transactions and works with them to mitigate risk and close deals. When necessary, he assists clients in resolving litigation claims and complex business disputes (including contractual and shareholder disputes, construction and real estate claims, and alleged fraud and misrepresentations), and has negotiated a wide array of favorable resolutions, including at trial, in both state and federal courts.
In 2017, Nathan was recognized by the Wisconsin Law Journal as one of their "Up and Coming Lawyers", view video. Since 2013, he has been recognized as a Rising StarSM by Wisconsin Super Lawyers®.
He is a member of the National Association of Bond Lawyers, the Milwaukee Bar Association and the State Bar of Wisconsin. He serves on the Board of Directors of the Wauwatosa Village Business Improvement District. He is fluent in German.
